End User License Agreement (EULA) for WheresPoppin



Effective Date: 01.14.2025


IMPORTANT: Please read this End User License Agreement ("Agreement") carefully before downloading, installing, or using WheresPoppin (the "App"). By downloading, installing, or using the App, you agree to be bound by the terms of this Agreement. If you do not agree, do not download, install, or use the App.


1. License Grant


WheresPoppin grants you a revocable, non-exclusive, non-transferable, limited license to download, install, and use the App strictly in accordance with this Agreement and applicable laws in your jurisdiction.


2. Restrictions


You agree not to:


  • Copy, modify, or distribute the App for any purpose.
  • Reverse-engineer, decompile, or disassemble the App.
  • Rent, lease, lend, sell, or sublicense the App.
  • Use the App for any unlawful purposes or in violation of local, national, or international laws.
  • Use the App to harm or abuse users on the platform
  • NB: All objectionable contents are deleted withing 24 hours and after been reported on the count of 2, your account will be suspended until further notice.


3. Ownership

All intellectual property rights in the App, including but not limited to trademarks, copyrights, and patents, are owned by Parkworth Company Limited. This Agreement does not transfer any ownership rights to you.


4. Updates and Modifications

The App may automatically download and install updates, patches, or enhancements to improve functionality. By using the App, you consent to such updates. [App Developer/Company] reserves the right to modify or discontinue the App at any time without notice.


5. Data Privacy and Compliance

Your use of the App is subject to our Privacy Policy, which complies with the following data protection regulations:

  • United States: California Consumer Privacy Act (CCPA), Health Insurance Portability and Accountability Act (HIPAA) (if applicable).

  • Europe: General Data Protection Regulation (GDPR).

  • Africa: Local data privacy laws such as South Africa’s Protection of Personal Information Act (POPIA).

  • Asia: Jurisdiction-specific regulations, including India’s IT Act or Singapore’s PDPA.

  • Australia: Australian Privacy Act.

    6. Regional Governing Laws

This Agreement is subject to the governing laws of the region in which the user resides, as follows:

  • North America: Laws of the United States.
  • Europe: EU laws and individual member state laws.
  • Africa: Laws of the specific country, including local jurisdictions.
  • Asia: Laws of the specific country, including GDPR-style frameworks where applicable.
  • Australia: Laws of Australia, including consumer protection laws.

In the event of a conflict, this Agreement shall defer to the most stringent applicable legal requirements to ensure compliance.


7. Termination

This Agreement is effective until terminated. Your rights under this Agreement will terminate immediately if you fail to comply with any term or applicable laws. Upon termination, you must stop using the App and delete all copies.


8. Disclaimer of Warranties

The App is provided "AS IS," without warranties of any kind, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.


9. Limitation of Liability

To the fullest extent permitted by law Parkworth Company Limited shall not be liable for any damages arising out of your use or inability to use the App, including direct, indirect, incidental, or consequential damages.


10. Export Controls

You agree to comply with all applicable export and import laws and regulations when using the App. The App may not be used, exported, or re-exported in violation of U.S., EU, or international export control laws.


11. Dispute Resolution

Any disputes arising under this Agreement shall be resolved as follows:

  • 1.For users in the United States: Binding arbitration under U.S. laws.
  • 2.For users in the EU: Arbitration or courts of the user’s country of residence under EU law.
  • 3.For users in other regions: Arbitration under the local governing laws.

In cases of irreconcilable jurisdictional conflict, disputes will be

resolved under the United Nations Convention on Contracts for the International Sale of Goods (CISG).


12. Amendments to this Agreement

Parkworth Company Limited reserves the right to modify this Agreement at any time. Continued use of the App constitutes acceptance of any changes.
